1. Who you are contracting with
These Terms govern your use of the Musician's Best Friend website and application (the "Service"), provided by Musician's Best Friend ("we", "us"). By accessing or using the Service you agree to these Terms.
2. The service
The Service provides tools for musicians including recording, pitch and overtone analysis, a tuner, a metronome, sheet music import and transcription, mixing, and a searchable session library. Some features consume credits.
3. Acceptable use
- No unlawful use, fraud, or spam.
- No infringement of intellectual property or other rights.
- No interference with the Service's security, including malware, probing, or scraping.
- No reverse engineering, resale, or circumvention of technical limits.
- You are responsible for activity under your account and for keeping credentials confidential.
4. Your content
You retain rights to recordings, sheet music, and other content you upload. You grant us a limited, non-exclusive license to host and process your content solely to provide the Service to you. You must have the rights necessary to upload any sheet music or audio you process through the Service, and you are responsible for how you use AI-generated outputs.
5. AI features and accuracy
AI transcription and analysis features may produce inaccurate results. Outputs are not a substitute for professional musical, legal, or other advice and should be reviewed before use. We may refuse, filter, or moderate content where appropriate.
6. Intellectual property
The Service, including its software, design, and branding, is owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose.
7. Payments, billing, and taxes
Credits and any paid plans are sold through our reseller. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. By making a purchase, you also agree to Paddle's Checkout Buyer Terms, which cover payment, billing, tax, cancellations, and refund mechanics. Purchased credits do not expire while your account is active.

9. Service availability
We do not guarantee that the Service will be uninterrupted, secure, or error-free. To the maximum extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.
10. Suspension and termination
We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service at any time.
11. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion would be unlawful.
12. Indemnity
You agree to indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.
13. Changes
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of the jurisdiction in which we are established, without regard to its conflict-of-law rules.
